Part One — What You Need to Know
This section is a plain English summary of your agreement with Tiora. The full terms follow in Part Two. Both parts form one binding agreement, accepted when you complete payment.
Membership
You are one of fifteen families accepted into the Tiora Founding Member programme. This status is personal to you and cannot be transferred.
As a Founding Member you receive early access to the platform, a price lock on your membership fee for as long as your membership remains active and the opportunity to provide input into the platform during its formative period.
Pricing and payment
Your membership fee is AU $1,200 per engagement, confirmed in your order. Payment is due in full at checkout.
Your rate is locked for the duration of your continuous active membership. If you cancel and later rejoin, standard pricing applies.
Cancellation
You may cancel at any time. Cancellation takes effect at the end of your current membership period.
Fees paid are generally non-refundable except where required by Australian Consumer Law or where Tiora fails to provide the agreed services.
Before any account closure you will be offered a full export of your archive.
Cancelling means more than losing access to your files. It removes the governance layer that controls who can see what, the succession structure that protects your archive across generations and the ability to continue organising and growing it. Your files can be exported. The structure around them does not transfer.
Your data
You own everything you upload.
Tiora holds a limited licence to store and process your content solely to deliver your archive. You may request a full export at any time.
On closure, your data is held for 90 days to allow export and is then permanently deleted.
Archive governance
You, as Founder, hold full authority over your archive.
You may appoint one Co-Custodian. Additional members receive role-based access that you define. Permissions are explicit, not assumed.
Succession
You may configure a succession protocol specifying what happens to archive authority upon a trigger event that you define.
This protocol operates only within the Tiora platform and does not replace formal estate planning or a legal will.
Confidentiality
Tiora will not disclose your identity, your archive contents or your family information to any third party except where required by law.
We ask that you keep any non-public platform features you encounter through early access confidential until they are publicly announced.
Liability
Tiora takes reasonable care in delivering the platform service. Our liability in any twelve month period is limited to the fees you have paid in that period.
Nothing here limits liability under Australian Consumer Law.
Feedback
We may ask for your feedback on platform features. Participation is welcome but not required. Any feedback you provide may be used to improve the platform.
1. Definitions
- Agreement means this Founding Member Agreement in its entirety.
- Platform means the Tiora web application and all associated services.
- Founding Member means the individual who has entered this Agreement and holds a Founding Member seat.
- Founder means the Founding Member in their capacity as primary authority holder over an archive.
- Archive means the structured digital collection associated with the Founding Member's family account.
- Membership Period means the period from the date of payment to the date of cancellation or termination.
- Founding Member Fee means AU $1,200 per engagement as confirmed at checkout.
2. Acceptance
- This Agreement is accepted when you complete payment for your Founding Member engagement.
- By completing payment you confirm that you have read and agree to be bound by this Agreement, the Tiora Terms of Service and the Tiora Privacy Policy.
- You must be 18 years or older to enter this Agreement.
3. Founding Member benefits
- Access to the Tiora platform from the date your account is activated.
- A locked membership fee for the duration of your continuous active membership.
- Priority access to new features as they are released.
- The opportunity to provide input into platform development through structured feedback channels.
- Founding Member status is personal and cannot be transferred, sold or gifted.
4. Payment
- The Founding Member Fee is AU $1,200 per engagement, payable in full at checkout.
- Payment is processed by a third party payment processor. Tiora does not store your payment card details.
- The Founding Member Fee is locked for the duration of your continuous active membership. If your membership lapses for any reason and you rejoin, standard pricing at the time of rejoining applies.
5. Cancellation and refunds
- You may cancel your membership at any time by notifying Tiora through your account settings or by contacting support@tiora.life.
- Cancellation takes effect at the end of your current membership period.
- Fees paid are generally non-refundable except where required by Australian Consumer Law or where Tiora has failed to provide the agreed services.
- Before any account closure you will be offered a full export of your archive content.
- Cancellation removes access to the platform including the governance layer, succession structure and all archive organisation features. Archive content can be exported. The structural layer does not transfer.
6. Your content and data
- You retain ownership of all content you upload to the platform.
- By uploading content you grant Tiora a limited, non-exclusive, non-transferable licence to store, process and display that content solely for the purpose of delivering the platform services to you.
- You may request a full export of your archive content at any time.
- On account closure, your data is retained for 90 days to allow export and is then permanently deleted.
7. Archive governance
- As Founder you hold primary authority over your archive including the ability to add, modify and remove access for all other users.
- You may appoint one Co-Custodian to share archive authority. Co-Custodian appointment requires identity verification as set out in the platform.
- All other archive members receive role-based access as defined by you. Permissions are explicit. Access is not assumed from family relationships.
- Tiora does not adjudicate disputes between family members regarding archive access. Governance decisions rest with the Founder.
8. Succession
- You may configure a succession protocol within the platform specifying how archive authority is to pass upon a trigger event of your choosing.
- The succession protocol operates only within the Tiora platform. It does not create legal rights outside the platform and does not replace or supersede a formal will or estate plan.
- Tiora will act on succession instructions only after receiving the documentation specified in the protocol and following internal verification.
- Tiora makes no warranty about the legal recognition of succession instructions in any jurisdiction.
9. Confidentiality
- Tiora will not disclose your identity, the contents of your archive or your family information to any third party except as required by law or as described in the Privacy Policy.
- As a Founding Member you may encounter platform features, pricing or roadmap information that has not been publicly announced. You agree to keep that information confidential until Tiora makes a public announcement.
10. Liability
- Tiora will take reasonable care in delivering the platform service.
- Tiora is not liable for indirect or consequential losses or losses arising from circumstances outside its reasonable control.
- To the maximum extent permitted by law, Tiora's liability for breach of any consumer guarantee under the Australian Consumer Law is limited to either the resupply of the services or the payment of the cost of having the services supplied again.
- Subject to the above, Tiora's total liability in any twelve month period is limited to the fees paid by you in that period.
- Nothing in this Agreement excludes or limits liability that cannot be excluded under Australian law.
11. Feedback
- Tiora may invite you to provide feedback on platform features during your Founding Member period.
- Participation in feedback sessions is voluntary.
- Any feedback you provide may be used by Tiora to improve the platform without restriction or compensation to you.
12. General
- This Agreement is governed by the laws of New South Wales, Australia.
- Disputes are subject to the exclusive jurisdiction of the courts of New South Wales.
- This Agreement prevails over the Tiora Terms of Service in the event of any conflict with respect to your Founding Member engagement.
- If any provision is found unenforceable the remaining provisions continue in full force.
- Tiora may update this Agreement with 30 days written notice. Continued use of the platform after that period constitutes acceptance.
